These terms describe the proposed conditions for using Invex and require legal approval before publication.
1. Acceptance of terms
By creating an account, accepting an order, or using Invex, the enterprise and each authorised user agree to these terms. A person accepting for an enterprise confirms that they are authorised to bind it.
2. Eligibility and accounts
Users must be legally capable of entering a binding agreement and must provide accurate account information. Enterprises are responsible for approving users, assigning appropriate roles, and keeping account details current.
3. Enterprise and user responsibilities
- Configure business, invoice, tax and access settings accurately.
- Ensure uploaded data and business activity are lawful and authorised.
- Review records, invoices, reports and user permissions.
- Comply with the Acceptable Use Policy and applicable obligations.
4. Subscriptions, billing and trials
Subscription fees, billing cycles, taxes, renewal terms and payment methods are those shown at purchase or in an applicable order. Charges may change only with the notice required by the approved commercial terms.
Invex does not currently offer a generally available trial under this template. Trial terms apply only when separately configured and presented before enrolment.
5. Permitted use and account security
Invex may be used for legitimate internal business-finance operations. Users must protect credentials, use available security controls, and promptly report suspected unauthorised access. Enterprises are responsible for activity through their authorised accounts.
6. Business data
Enterprises retain their rights in business data they submit, including customer, invoice, payment and expense records. They grant Invex the limited permission required to host, process, secure and transmit that data to provide the service.
7. Intellectual property and third-party services
Invex and its licensors retain rights in the service, software, branding and documentation. Integrations and third-party services are governed by their own terms; their availability and conduct are outside Invex’s direct control.
8. Availability and service changes
Invex may maintain, improve, modify or discontinue service features. This template does not promise guaranteed uptime or a service level. Any approved service commitment must be stated in a separate written agreement.
9. Suspension, termination and export
Access may be suspended or terminated for non-payment, security risk, unlawful conduct, material breach or as otherwise permitted by an approved agreement. Where technically and legally feasible, data-export access after termination will follow the period and format stated in the applicable order or approved retention policy.
10. Disclaimers, liability and indemnity
To the extent permitted by applicable law, the service is provided without warranties not expressly stated in an approved agreement. Any exclusions, liability cap, excluded damages and indemnity obligations remain subject to legal review and mandatory law.
11. Governing law and disputes
The proposed governing jurisdiction is [GOVERNING_JURISDICTION]. The forum, escalation process, arbitration or court procedure, and notice requirements are placeholders pending legal approval.
